Robert J. Ahrenholz is a corporate and securities attorney with more than 35 years of experience. His practice is geared towards securities, corporate finance, securitizations, and structured finance. As a partner in the Denver, Colo., office of Kutak Rock LLP, Attorney Ahrenholz, represents investment bankers, issuers, and various other clients in different types of transactions. This includes serving as lead counsel for investment vehicles such as registered investment companies, and for investment banking and issuer clients in private and public financing transactions. One of Attorney Ahrenholz’s career accomplishments includes representing a major U.S. finance company on commercial loan securitizations in excess of $3 billion.
Throughout his career, Attorney Ahrenholz has served as securities counsel for numerous EB-5 offerings, and has assisted developers extensively on documenting and structuring EB-5 offering programs. His EB-5 expertise includes, but is not limited to, drafting private placement memoranda, subscription agreements, organizational documents, foreign placement consultant agreements and related documents. He has been involved in the drafting of over 250 public and private offering documents throughout his more than three decades in practice.
A major portion of Attorney Ahrenholz’s practice also involves advising public companies on registration matters, exemption provisions as they relate to federal securities laws, and disclosure and reporting requirements. Additionally, he organized one of the original business development companies for venture capital financing by the public under the Investment Company Act of 1940. Attorney Ahrenholz has worked at the Securities and Exchange Commission (SEC) in Washington, D.C., where he served as a senior member in various capacities in the Division of Corporation Finance. Presently, he acts as the liaison for the ABA Subcommittee of Liaisons to Securities Administrators for the states of Wyoming, Montana, and Colorado.
For more than 25 years in a row, Attorney Ahrenholz has been named in The Best Lawyers in America/Colorado. In 2014, he was also selected as the Denver Securities Regulation “Lawyer of the Year” by Best Lawyers. He frequently contributes to literature on EB-5 securities issues, with some of his articles including co-authoring “Website Guidelines for Concurrent Rule 506(c) and Reg S EB-5 Offerings” for EB5 Investors Magazine, and “Raising EB-5 Capital: Key Securities Laws Considerations and a Compliance Roadmap” for Practical Law. Attorney Ahrenholz has been in good standing with the Colorado State Bar since 1981. He earned his bachelor’s degree from Purdue University, his M.B.A. from Florida State University, and his Juris Doctor from the Catholic University of America School of Law.
