How do I sell my Regional Center?

We own an approved Regional Center in Hawaii County and would like to sell. Our industry categories include New Single-Family Housing Construction (except for For-Sale Builders), as well as Commercial and Institutional Building Construction. What are the best avenues to take when trying to sell an RC?

You will need to consult with an experienced EB-5 immigration attorney who has the expertise with this type of transaction. The immigration regulations and policies require an Application for amendment to give notice to the USCIS if the material changes. The owners of the regional center can advertise in EB-5 industry journals and exhibit at EB-5 events.

You could reach out first to existing regional centers; someone might be interested in acquiring/merging two or more regional centers. Selling a regional center may prove difficult because the buyer would be responsible for complying with all USCIS reporting requirements and would have to file new I-924 forms because of a material change in regional center ownership. In most situations, the buyer might as well just set up his or her own regional center and apply directly to USCIS for designation. Also, since USCIS is focusing on terminating dormant regional centers, there is a danger that an inactive regional center would be terminated or subject to a USCIS notice of intent to terminate before the sale is completed.

There are a number of steps that can be taken. A straight advertisement in EB-5 industry publications may be a start. Alternatively, you may hire brokers who can help sell it. A common trend is to advertise the sale at any of the EB-5 seminar or workshop where you are likely to meet an audience who is familiar with the operation of the regional center. Finally, publicize your sale to EB-5 professionals such as attorneys and others who can help.

One could try to sell it online or through direct marketing to developers. However, since so many regional centers are being terminated, there may not be much value as USCIS is terminating unused centers at an alarming rate.

You can market it, however, the selling of an RC most likely would be construed by the USCIS as a significant change in circumstance for those EB-5 Investors that have a pending Petition under your RC, and would require the filing of an amendment. For these investors, you need to be aware and plan for the consequences of that sale.

There is a real market for existing Regional Centers for individuals who would want a Regional Center to cover their project in an area in which your Regional Center has a footprint, i.e. Hawaii County. The likely purchasers would be developers wanting to raise funds through the EB-5 program who believe they will be doing so with one or more projects. They may be currently using another Regional Center and, if they look at the timeframe, it would take them at least one year to set up their own Regional Center. The best way to market this Regional Center would be through your contacts in both the real estate development and immigration bar communities in Hawaii.
