Andrew Kingston is a corporate and securities attorney, and a managing partner at Kingston Petersen, based out of Seattle, Wash. With a client base of public and private businesses throughout Europe and North America, he has more than 25 years of experience in transactional and corporate legal services. He has assisted on numerous EB-5 offerings, and his expertise in EB-5 securities documents includes drafting limited partnership agreements, subscription agreements, confidential offering memoranda, operating agreements, pre-subscription letter agreements, Escrow agreements, loan agreements, promissory notes, and various security documentation.
Attorney Kingston’s representative experience in financing and transactional legal services includes serving as the chief legal officer for a publicly traded marketing company, counseling an issuer on private placements of securities for qualification under the EB-5 immigrant investor program, acting as the general counsel to a publicly traded health and business software solution provider, and serving as the legal adviser to a privately held cloud-based business software application company.
As general counsel for a number of private and public U.S. corporations, Attorney Kingston handles matters related to licensing, SEC reporting, governance, regulatory compliance, financing, corporate, IP, contract, marketing, and litigation. Prior to his work at Kingston Petersen, Attorney Kingston co-founded and served as senior partner of Nestor Nestor Diculescu Kingston Petersen S.P.A. (NNDKP) in Bucharest Romania. In this capacity, he managed the firm and advised both NGOs and governments on legislative drafting, privatizations, and international financing. He also provided business and legal support for Fortune 100 clients in the areas of foreign investment transactions, debt and equity financing, international trade agreements, corporate acquisitions, and privatization and development projects.
Attorney Kingston graduated from the University of Virginia with high distinction, receiving his bachelor’s degree in American government and politics. He then went on to earn his Juris Doctor, cum laude, from Harvard Law School, where he served as president of the Board of Student Advisors. He has lectured at Cornell University as an adjunct professor of law on the subject of corporate finance in emerging markets, an upper-level and graduate law course offering practical experience in understanding and utilizing international commercial transactions in the developing world. Attorney Kingston is an active member of the Washington State Bar Association.
