Where can I obtain clarification on EB-5 project documents?

The EB-5 project documents are so complicated. How do I figure out the role of the Company? the Developer? the Borrower? the Regional Center? the Property? the Property owner? etc. And what is the the relationship between all of these? It seems that one is the affiliate of another, but I am confused.

It is best that you hire the legal services of an experienced EB-5 immigration attorney who will be able to review the documents for you. The most important offering documents are the limited partnership agreement, subscription agreement, business plan and economic impact/job creation report, and private placement memorandum. Because these documents are generally very complex, it is in your best interest to be represented by an experienced attorney who may refer you to other specialists as needed.

Your EB-5 immigration attorney should assist you with reviewing project documentation for compliance with immigration rules, regulations, and procedures. You attorney may also work with a financial adviser or other non-immigration attorneys to clarify any questions you have so you can make a fully informed decision.

A business attorney can help you understand the roles those parties play; however, a broker dealer firm may be able to help you with due diligence.

You can hire an independent attorney to conduct due diligence for you if the legal relationship between the entities confuses you. If you have questions regarding the feasibility or profitability of the project itself, maybe a financial adviser can be of help.

This is a question that you should put to your investment immigration attorney. Or if your attorney is unable to answer this question, you should be referred to outside counsel.

You should hire a lawyer and/or other professional to explain the documents to you. The documents were drafted by a team of lawyers and even well-trained EB-5 lawyers take time to understand the documents.

Each project has its own particular structure. You should not enter any agreement until you have retained counsel familiar with EB-5.

The most important documents for you to review are the subscription agreement and the limited partnership agreement. They will state to what you are subscribing and what your rights are under the partnership and what the regional center's roles are. The other documents that you need to review are the business plan along with the jobs report to make sure the business/project will create the requisite number of jobs.

You should consult a professional familiar with private securities offering documents, such as a securities attorney or other attorney familiar with business finance documentation, licensed investment adviser, or licensed securities broker.
